These terms govern your use of Helferlain, operated by {LEGAL_ENTITY}. By creating a workspace you accept them. Helferlain is a B2B service; consumers are not the intended audience.
1. The service
Helferlain connects to your advertising and analytics accounts via OAuth, runs daily cross-source audits and produces ranked recommendations. You may apply, dismiss or ignore them. Every action is reversible from the audit log.
2. Beta
During the Beta period (until we exit publicly), the service is provided without an SLA, on a best-effort basis. We aim for 99% uptime but do not guarantee it. Liability for Beta usage is limited to fees actually paid in the twelve months preceding a claim, capped at €50,000.
3. Subscriptions and refunds
Plans renew automatically. Monthly subscriptions can be cancelled at the end of the billing period. Annual subscriptions include a 30-day money-back window plus a pro-rata refund clause for unused months thereafter, applied at our discretion.
4. Your responsibilities
- You hold valid OAuth credentials for the platforms you connect.
- You bring your own AI key (Anthropic / OpenAI). The contract for that inference is between you and the AI provider.
- You will not attempt to bypass rate limits, exfiltrate other tenants' data, or use the service to send unsolicited communications.
5. Liability
To the maximum extent permitted by law, our aggregate liability is capped at the lower of (a) twelve months of fees actually paid by you, or (b) €50,000. We are not liable for indirect, consequential, or third-party-caused damages — including but not limited to ad-platform algorithmic changes, AI-provider output, or downtime of any sub-processor listed at /legal/sub-processors.
6. Termination
Either party may terminate at any time. On termination we crypto-shred your workspace encryption key within seven days; encrypted data becomes unrecoverable. Statutory retention obligations for invoices remain.
7. Changes
We notify you 30 days in advance of material changes. Continued use after the effective date constitutes acceptance.
8. Governing law and venue
German law applies. Exclusive venue is the seat of {LEGAL_ENTITY}, to the extent permitted.
